Terms of Service

This is a working draft prepared to cover Zeerus's actual features and data practices. It has not been reviewed by a lawyer and should not be relied on for real customers until it is. Bracketed items need a decision from you (or your lawyer) before this goes live.

1. Who this agreement is with

These Terms of Service ("Terms") govern access to and use of Zeerus, a customer relationship management platform for insurance brokerages and managing general agents ("Zeerus", "the Service", "we", "us"). The Service is operated by [legal entity name — e.g. Zeerus Inc., a corporation incorporated under the laws of Ontario]. By creating an account or using Zeerus, you ("you", the "Agency", or "Customer") agree to these Terms.

2. Who can use Zeerus

Zeerus is intended for licensed insurance agents, brokers, and agencies operating in Canada. By registering, you confirm that you (or the agency you represent) hold the licenses required by your province to sell insurance, and that your use of the Service complies with the rules of your provincial insurance regulator and any managing general agent or carrier agreements you are subject to. Zeerus is a record-keeping and workflow tool — it does not replace your professional judgment or your regulatory obligations.

3. Accounts

The person who registers an agency becomes its owner and can invite additional team members. You're responsible for keeping your login credentials confidential and for all activity that happens under your account. Tell us immediately if you suspect unauthorized access. Agency owners are responsible for the conduct of everyone they invite to their workspace.

4. Your data and your clients' data

You retain ownership of all client records, policy data, notes, and other content you enter into Zeerus ("Customer Data"). We act as a data processor on your behalf for the personal information of your own clients that you store in the Service — you remain responsible, as the data controller, for having the appropriate consent and legal basis to collect and store that information, and for complying with Canada's Anti-Spam Legislation (CASL) and applicable privacy law with respect to your own clients. See our Privacy Policy for how we handle personal information, and our Data Processing Addendum for the specific commitments we make as a processor of your clients' data.

You can export your data at any time from within the Service. If you close your account, we will retain your data for [e.g. 30 days] to allow you to export it, then delete it in line with our retention practices described in the Privacy Policy.

5. Subscription plans and billing

Zeerus is offered on a subscription basis (currently Solo, Team, and Agency plans, billed monthly) with a 30-day free trial for new agencies. Paid subscriptions are processed by Stripe; by subscribing you also agree to Stripe's terms governing the payment itself. Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and [state your refund policy — e.g. we don't provide prorated refunds for partial periods].

Agencies who join via a referral link ("Founding Agent" pricing) keep their referral rate for as long as their subscription remains active and in good standing.

6. Acceptable use

You agree not to:

  • Use Zeerus for any purpose that violates applicable law, including insurance regulation, privacy law, or anti-spam law;
  • Store or transmit information you don't have the right or consent to store;
  • Attempt to access another agency's data, or probe, scan, or test the Service's security;
  • Resell, sublicense, or provide access to the Service to anyone outside your own agency without our consent;
  • Use automated means to scrape or extract data from the Service beyond the export tools we provide;
  • Upload malicious code or attempt to disrupt the Service for other users.

7. AI features

Zeerus may offer optional AI-assisted features (for example, a natural-language assistant that answers questions about your book of business). These features are provided as a productivity aid, not a substitute for your own review or professional judgment. AI-generated output can be inaccurate or incomplete — you're responsible for verifying anything you rely on before acting on it, including in communications with clients or regulators.

8. Service availability

We aim to keep Zeerus available and reliable but don't guarantee uninterrupted access. We may perform maintenance, and rare outages can happen. [Insert an SLA / uptime commitment here only if you intend to actually offer one — otherwise this stays general.]

9. Termination

You may cancel your subscription and close your account at any time. We may suspend or terminate an account that violates these Terms, fails to pay, or poses a security risk to the Service or other agencies, with notice where practical.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability for any claim relating to the Service is limited to the amount you paid us in the [12 months] preceding the claim. 11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or an in-app notice) before they take effect. Continuing to use Zeerus after changes take effect means you accept the updated Terms.

12. Governing law
